Lawyer Marketplace Terms of Service

Welcome to the Lawyer Marketplace, brought to you by Made It Legal, a division of Made It Enterprises Inc. (the “Company”, “we”, “us”, “our”, and similar expressions). We’re happy you’re here.

Before you use the Lawyer Marketplace, please review these Lawyer Marketplace Terms of Service thoroughly. Capitalized words that you don’t see defined here are given the meanings to them in our Master Terms of Service. Use of the Lawyer Marketplace is also subject to the Master Terms of Service, so please read them thoroughly as well. If you have questions on these Lawyer Marketplace Terms of Service, please contact us before you use the Lawyer Marketplace.

1. Master Terms of Service. Use of the Lawyer Marketplace is subject to the applicable terms of the Master Terms of Service.
2. Beta Service. The Lawyer Marketplace is a Beta Service. Please review the terms applicable to Beta Services in our Master Terms of Service.
3. Using the Lawyer Marketplace
   1. Access and Use. The Lawyer Marketplace connects Lawyers and Customers so that they may receive Legal Services from the Lawyer. The Lawyer Marketplace may not be used for any other purpose, including selling anything other than Legal Services. Any other purpose is strictly prohibited and will result in restriction, suspension, or cancelling your access to the Lawyer Marketplace.
   2. Regional Availability. The Lawyer Marketplace may be available only in certain regions we specify on our Site. We reserve the right to discontinue, limit, or suspend the availability of the Lawyer Marketplace in any region.
   3. Posts to the Lawyer Marketplace. While we take efforts to ensure that all submissions by Customers to the Lawyer Marketplace to request or inquire about Legal Services (“Posts“) are kept confidential, we cannot guarantee the confidentiality of the information made within a Post, that a Lawyer will not have a conflict of interest regarding the Post, or that the Post will be kept strictly confidential by the Lawyer or any other party that has access to the Post, including a Lawyer’s employees, contractors, paralegals, or assistants. By their nature Posts are meant to be shared with Lawyers, and Customers and Lawyers alike should keep this in mind when making or receiving Posts. You agree to not include Confidential Information in your Posts. You acknowledge and agree that you are solely responsible for the contents of your Posts.
   4. Our Use of Posts. We agree to only use Posts for the purposes of delivering our Services to you and to connect you with Lawyers offering Legal Services.
   5. Consent to Receiving Electronic Communications. By making a Post, you consent to the receipt and exchange of Electronic Communications regarding your Post, including those Electronic Communications that are commercial electronic messages within the meaning of Applicable Laws.
4. For Customers
   1. Reviews. We may request from you, and if you choose you may, provide us with a review (a “Review“) of the Lawyer who has provided you with Legal Services. You give us a royalty-free, irrevocable, transferable right and license to view, use, and display your Review and all comments, feedback, and other Submissions disclosed, submitted, or offered to us in connection with your Review. We may make your Review publicly visible on our Site to promote the Lawyer Marketplace or the Legal Services of the Lawyer to which your Review relates. You acknowledge and agree that we are under no obligation to use your Review for any purpose and that we may remove your Review from the Site at any time. You also agree that we may reasonably modify your Review by, for example, using a shorter portion of it to post on our Site to promote the services of a Lawyer. We agree to use commercially reasonable efforts to ensure that no Confidential Information you provide in a Review is publicly posted to our Site. You also agree that despite our efforts, you will not provide us with any Confidential Information in your Review.
   2. Engagement of a Lawyer and Billing Matters. You acknowledge that Lawyers set their own rates, estimates, timelines, and other terms of service or engagement when they provide Legal Services to you. You understand and agree that we are not a party to your agreements with the Lawyer regarding Lawyer Services and have no ability to review the agreements, enforce their terms, or advise you on any of your agreements with a Lawyer. Billing and payment matters will be agreed upon by you and the Lawyer directly.
   3. Hold Harmless and Indemnification. To “indemnify” means to compensate someone for harm or loss they suffer due to the other party’s actions or failure to act. To “hold harmless” means to not hold someone responsible for something. An indemnification clause says the other party will defend the harmed party in any claim made against them by a third party and will cover the cost of the losses. The intent is to shift liability away from one party on to the indemnifying party. You agree to defend, indemnify, and hold us, our Affiliates, and each of our respective officers, directors, employees, agents, and sub-contractors harmless from and against any Claims and resulting Damages related to (i) your use of the Lawyer Marketplace and receipt of Legal Services, (ii) your Posts, or (iii) your Reviews.
5. Disputes and Happiness Manager Services. When Lawyers and Customers cannot settle conflicts amongst themselves, we offer our services to both Lawyers and Customers as a Customer Happiness Manager (“Happiness Manager Services“).
   1. What We Do. When providing Happiness Manager Services, we will:
      1. Use our best commercial efforts to improve your Lawyer Marketplace experience, whether you are a Lawyer or a Customer, so that you and all other Customers have exceptional access to a marketplace to offer or receive Legal Services.
      2. Listen to and communicate to Lawyers any Customer concerns or feedback about speed of delivery of Legal Services, the cost of Legal Services, or other general concerns or feedback and if asked, we will work with both parties to mediate a resolution.
      3. Respond to abusive behaviour or violations of the Lawyer Marketplace Terms of Service by Customers or Lawyers by suspending access to the Lawyer Marketplace if there is a legitimate concern about an individual’s treatment of a Lawyer or Customer by either party.
   2. What We Don’t Do.
      1. Make promises or estimates to the Customer about how fast their Legal Services will take.
      2. Set the Lawyer’s rate or make any promises, quotes, or estimates about Legal Services.
      3. Report concerns to any law society since that is the Customer’s decision alone.
      4. Supervise or review a Lawyer’s Legal Services since the confidentiality of the work needs to stay between the Lawyer and the Customer.
      5. Terminate the lawyer-client relationship between a Lawyer and Customer. Only the Lawyer or the Customer may terminate the lawyer-client relationship.
   3. No Guarantee of Outcome of Happiness Manager Services. We are very interested in making the Lawyer Marketplace a high-quality, accessible place where Lawyers and Customers can connect and offer and receive Legal Services. However, we cannot guarantee the outcome of our Happiness Manager Services. We act as a mediator when asked to do by either a Customer or Lawyer, but we are not an arbitrator of disputes.
6. Code of Conduct. When using the Lawyer Marketplace, you agree to:
   1. Make or receive legitimate Posts for Legal Services only. Our Lawyers’ and Customers’ security is a top priority. Any attempts to publish or send malicious content with the intent to compromise another user’s account or computer environment is strictly prohibited. Please respect Lawyers’ and Customers’ privacy by not contacting them with offers, questions, suggestions, or anything which is not directly related to their Posts or Legal Services.
   2. Prevent any misuse of our review system by ensuring all Reviews come from legitimate and eligible Posts that a Lawyer has accepted and regarding which a Lawyer has completed Legal Services. Reviews that artificially enhance or lower Lawyer ratings, or that abuse the Lawyer Marketplace, will result in a permanent suspension of all related accounts.
   3. Not withhold information a Lawyer needs to complete Legal Services with the intent to manipulate a Review.
   4. Not withhold Legal Services and related files or information required to complete the Legal Services with the intent to gain favorable Reviews or additional services.
   5. Not publish or post other people’s Personal Data or Confidential Information in any Post or Review.
   6. If you are a Lawyer, to ensure that at all times that you advertise your Legal Services on the Lawyer Marketplace that you are qualified to practice law.
   7. If you are a Customer, to work with your Lawyer in good faith and if you are a Lawyer, to be prompt and conscientious when providing your Legal Services to the Customer.
   8. Not to discriminate against any other user based on gender, race, age, religious affiliation, sexual orientation, or otherwise and you acknowledge that such discrimination may result in the suspension or removal of your access to the Lawyer Marketplace.
   9. Not to use rude, abusive, improper language, or violent messages. Any such communication will not be tolerated and may result in an account warning or the suspension or removal of your access to our Services. Communication on the Lawyer Marketplace should be friendly, constructive, and professional. We condemn bullying, harassment, and hate speech towards others.
   10. You must also follow our Acceptable Use Policy when using the Lawyer Marketplace.
7. Disclaimers and Limitations on our Liability. PLEASE READ THIS SECTION CAREFULLY. IT INCLUDES LIMITATIONS ON OUR LIABILITY, DISCLAIMERS OF LIABILITY, WAIVERS, AND OTHER LIMITATIONS OR RESTRICTIONS ON YOUR RIGHTS TO SEEK COMPENSATION FROM US FOR OUR ACTUAL OR POTENTIAL LIABILITY TO YOU.
   1. Disclaimer Regarding Posts and Legal Services. We are always striving to ensure the quality of the Lawyer Marketplace. However, since we do not control the way Lawyers practice or conduct their business, we make no representation, warranty, or guarantee that a Post will be accepted by a Lawyer, that we have a Lawyer that meets the needs expressed in your Post, that Lawyers participating in the Lawyer Marketplace are qualified to practice law in your region or the region applicable to a Post, that Lawyers have the expertise that you need, that Lawyers have accurately represented their skills, qualifications, or experience, or that you will receive timely, appropriate, accurate, or cost effective Legal Services. Legal Services are Third-Party Services within the meaning of our Master Terms of Service. Our sole remedy to you regarding Legal Services is to receive our support stated in the Section of these Lawyer Marketplace Terms of Service entitled “Customer Happiness Manager.”
   2. Disclaimer Regarding Confidentiality. We advise all Customers, Authorized Users, and Lawyers that they should take measures to keep Posts and their content strictly confidential, but we have no liability to a Customer, Lawyer, Authorized User, or any third-party regarding the Posts, the content of a Post, or the fact that a Post was made. We do not guarantee the confidentiality of a Post.
      For Lawyers. In addition to these Lawyer Marketplace Terms of Service, we will mutually agree to additional terms, conditions, and agreements in a separate agreement among us.
